I am a transactional attorney who focuses my practice in the areas of corporate law, mergers and acquisitions, general business and commercial matters, and tax-exempt organizations. I regularly assist clients in connection with formation, governance, sales, acquisitions, mergers, business combinations, and dissolutions of foreign and domestic companies. I have been praised by clients and professionals for my creative and well-thought solutions to issues presented in the transaction process. I also routinely provide counseling regarding company operations, compliance and management, and equity and asset deals and frequently advise business and nonprofit clients in all forms and stages of contractual matters, from negotiation and drafting through execution and implementation. I also act as a trusted advisor to emerging companies by helping them navigate a wide range of business and legal issues, including developing and leveraging strategic alliances, regulatory compliance, employee and labor matters, litigation and general corporate matters.

In addition to general corporate work, I assist tax-exempt organizations to provide a variety of services, including the incorporation, tax-exempt qualification and ongoing governance issues relating to nonprofit organizations, and advice regarding Internal Revenue Service, Attorney General, and other regulatory authority oversight and compliance. I also provide pro bono services for nonprofit organizations that cannot afford legal services.

I graduated magna cum laude from Michigan State University College of Law, where I was a Dean’s scholar and received several jurisprudence awards as the highest achieving student for various courses. I also served as Senior Managing Editor of the Michigan State Law Review.

Despite attending Michigan State University for law school, I am an avid Michigan fan. I attended the University of Michigan for my undergraduate studies and was a varsity cheerleader. My wife (who was also a Michigan cheerleader) and I live in Farmington Hills with our recently born daughter (almost eight months old). We are “foodies,” so we enjoy frequenting restaurants in Farmington Hills and West Bloomfield. In addition to working in Detroit, I also work out of our Birmingham office, so I often get to enjoy the food and beverage options in Birmingham as well.
